11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: We shall not be liable for any indirect or consequential damages, loss of income, lost commissions, business interruption, or reputational damage.

Total liability shall not exceed the amount you paid to the Company in the three (3) months preceding the claim.

You agree to indemnify and hold harmless Joon Choi, Hypnotic Closing, affiliates, contractors, and employees from any claims, damages, losses, or liabilities arising from your use of the Services, your sales practices, or violations of these Terms.

Any dispute arising from these Terms or the Services shall be resolved through binding arbitration under the rules of the American Arbitration Association (AAA).

We reserve the right to terminate access to the Services at our discretion for breach of these Terms, non-payment, or misconduct.

We are not liable for delays or failures resulting from events beyond our reasonable control, including natural disasters, internet outages, or government actions.

If any provision of these Terms is held invalid, the remaining provisions remain in full force and effect.

These Terms constitute the entire agreement between you and the Company and supersede all prior understandings.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Ontario, Canada, without regard to conflict of law principles.
